Terms and Conditions

The following terms and conditions (the “Terms”) govern your access to and use of https://patchworkhub.org/ (the “Site”). The Site is provided by Patchwork Hub Limited, company number 12192577 and with a registered address at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (referred to as “Patchwork Hub”, “we”, “us” or “our”). Patchwork Hub provides a specialised online platform which enables users who require talent (“Employers”) to post job opportunities (both freelance and full time) and connect with individuals and businesses who have registered via the Site to provide their services to such Employers. Such individuals and businesses that provide services to Employers are known as “Patchworkers”. In these Terms, references to “you”, “your” and “user” are references to the Patchworkers and Employers who are registered on the Site. 

By using the Site, you agree that these Terms apply to your use of the Site in addition to any other terms and conditions which may apply, including the Patchwork Hub Privacy Statement (https://patchworkhub.org/privacy-policy) and the Patchwork Hub Cookie Policy (https://patchworkhub.org/cookie-policy). If you do not agree to these Terms, you must not use the Site. 

These Terms were last updated on 2 April 2024. We amend these Terms from time to time. Please check this page of the Site periodically. If in our view any change significantly affects your rights or obligations, we shall notify you of such changes, and such changes shall take effect 30 days after the date of notification. 

1. Patchwork Hub services and limitations

1.1 Our Site is currently only directed to people residing in the United Kingdom. We do not represent that our Site is appropriate for use or available in other locations.

1.2 We are not party to any agreement entered into between Employers and Patchworkers. We have no control over any Employer’s decision to initiate or terminate a Patchworker’s engagement or employment and we do not take any responsibility for such decisions. Any disputes arising between Employers and Patchworkers must be settled between the relevant Employer and Patchworker, and Patchwork Hub disclaims all liability in this respect, to the maximum extent permitted by applicable law.

1.3 We may conduct identity verification checks (including but not limited to reference checks). However, due to the difficulty of fully verifying information provided over the Internet, we cannot guarantee the authenticity or completeness of identity information provided by users.

1.4 We do not select or propose specific tasks or employment for or to Patchworkers. Rather, we offer an online platform that enables Patchworkers to seek paid tasks or employment, and enables Employers to offer available paid tasks or employment to Patchworkers.

1.5 We do not direct or control the job, tasks or roles performed by Patchworkers and both Employers and Patchworkers understand that Patchworkers have complete discretion whether and when to provide services, and at what price and on what terms, to Employers. We do not have control over the quality, timing, or legality of the services actually delivered by any Patchworker, or whether services will be delivered at all.

1.6 Patchwork Hub integrates Stripe Connect (part of Stripe Payments UK Limited) as an authorised third party payments services provider for the Site. If Stripe Connect no longer has the appropriate authorisations and/or permissions to provide payment services for the Site, Patchwork Hub reserves the right to replace Stripe Connect with a third party payments services provider that is validly authorised by the relevant supervisory authority.  For the avoidance of doubt, Patchwork Hub itself does not offer any payment services in relation to the Site.

1.7 We may also amend or change our Site from time to time to reflect changes to the services we offer. We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

1.8 Where our Site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

2. Your account

2.1 You will be required to complete an online registration form to apply for membership to the Site and to create an online public profile (“Account”). When creating an Account, you agree that the information you provide to us (“Account Information”) is true, accurate, current and complete, and that you will maintain the accuracy and completeness of such Account Information at all times. By creating an Account as an individual, you confirm that you at least eighteen (18) years of age.

2.2 Patchwork Hub reserves the right to verify the identity of any person seeking to register an Account. You authorise Patchwork Hub to make such checks (whether by way of identity documentation or enquiries of third parties) as are reasonable and necessary to verify your identity.

2.3 You are solely responsible for maintaining the confidentiality and security of your Account password and you agree to notify us if your password is lost, stolen, or disclosed to an unauthorized third party, or if your Account may have been compromised. We have the right to disable your password, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

2.4 You are solely responsible for all activities that are carried out under your Account unless it is a result of actions beyond your reasonable control (such as hacking or if someone steals your password when you have taken reasonable steps to keep it secure). We are not responsible for any misuse or use of your Account.

2.5 You must not create additional accounts for the purpose of abusing the functionality of the Site or other registered users or for any other reason in breach of these Terms.

2.6 You may close your Account and cancel your membership to the Site at any time by using the functionality available in your Account or by contacting us at [email protected].

2.7 You may not transfer ownership or sell your Account to another party.

2.8 Your Account must not include any links to your own website or any third party website, or any content that breaches our Terms. Please do not include your bank account or any other withdrawal method.

3. Terms of service for Employers

3.1 Once you have created your Account, you may purchase one-off job advertisements or purchase a yearly or monthly membership. Please refer to clause ‎4 for an explanation of your cancellation rights in relation to these memberships.

3.2 Employers are solely responsible for their job postings on the Site, and Patchwork Hub shall not be responsible for any employment decisions made by any Employer.

3.3 Employers may not seek confidential personal information from Patchworkers, such as bank account or credit card information or health information.

3.4 Employers must comply with applicable legislation, including but not limited to laws relating to employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property (in each case as applicable).

3.5 You must not:

(a) post jobs that contain false, misleading or inaccurate information, or hidden or misleading keywords, or repeated keywords that are not relevant to the job being advertised; 

(b) post jobs that include any screening requirement or criterion in connection with a job posting where such requirement or criterion is not an actual and legal requirement of the posted job;

(c) post any pyramid scheme, club membership, distributorship, or multi-level marketing opportunity;

(d) post jobs that contain material, or links to material, that exploit people in a sexual, violent or other manner;

(e) post jobs that requires an upfront or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;

(f) post jobs that pay commission only, unless the posting clearly states that the available job pays commission only and clearly describes the product or service that the job seeker would be selling; or

(g) promote any opportunity that does not represent bona fide employment.

We reserve the right to remove any job posting or content which does not comply with these Terms, or any content that we believe is not in the best interest of our job seekers.

4. Cancellation rights

Membership fees will be automatically taken from your authorised payment method unless we have notified you of the termination of your membership, or you have notified us of the cancellation of your membership. Cancellation is possible before the next billing date and any qualifying refunds can only be arranged if cancellation has been requested in time. The relevant notice periods for cancellation are as follows:

(a) if you have a monthly membership: five (5) working days before the next billing date; and

(b) if you have a yearly membership: thirty (30) days before the next billing date.

4.2 For any cancellation request to be effective, the cancellation needs to be confirmed by us in writing. We will endeavour to provide such confirmation within three (3) working days of the receipt of your cancellation request and if such confirmation is not provided before the next billing date your cancellation will be deemed accepted by us and you will not be charged..

5. Terms of service for Patchworkers

5.1 Patchwork Hub does not make any guarantee whatsoever about any job advertisement which is accessed on the Site or shared by Patchwork Hub on social media. We also make no guarantees about any of the Employers who advertise vacancies on the Site. You should satisfy yourself as to the suitability of any agency, employer or job found directly or indirectly through the Site.

5.2 You should ensure that information you send to us or any Employer is accurate and lawful.

5.3 Patchwork Hub accepts no responsibility or liability for the performance or behaviour of any Employer or other third party that you come into contact with through your use of the Site.

6. Intellectual property

6.1 You acknowledge and agree that all copyright, trade marks and other intellectual property rights in the Site and material we publish on the Site are owned by Patchwork Hub and/or its licensors and are protected by copyright and intellectual property and other laws. All intellectual property rights are reserved.

6.2 If you wish to obtain permission to make use of any of the copyrighted materials, trade marks or other rights or material that may be displayed on the Site from time to time, please contact us at [email protected]. Patchwork Hub shall not be responsible for seeking any additional authorisation required for third party use of any copyrighted materials, trade marks or other rights not owned by or licensed to Patchwork Hub for such use.

6.3 Your unauthorized use of intellectual property rights owned by Patchwork Hub or its licensors may violate copyright, trade mark, privacy, publicity, communications, and other laws which may result in personal liability for you, as well as potential criminal liability.

7. User-generated content

7.1 This website may include information and materials uploaded by other users of the Site. This information and these materials have not been verified or approved by us. The views expressed by other users on our Site do not represent our views or values.

7.2 Any content you upload to our Site will be considered non-confidential and non-proprietary. You warrant that any content you upload to the Site is your original work and will not violate the intellectual property rights of any third parties. You retain all of your ownership rights in your content, but you grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, copy, reproduce, distribute, prepare derivative works of, display, and perform your user-generated content in connection with the service provided by the Site and across different media including to promote the Site.

7.3 You are not permitted to upload:

(a) unlawful, harmful, malicious, defamatory, hateful, inflammatory, discriminatory, offensive, obscene or otherwise objectionable content; 

(b) any content that would constitute or encourage a criminal offence;

(c) content that contains the proprietary information or rights of a third party; and

(d) files that contain viruses and other malware.

8. Liability

8.1 We do not exclude or limit our liability to you in any way where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, or for fraud or fraudulent misrepresentation.

8.2 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms where such failure or delay is caused by an event outside our control. If an event outside our control takes place that is likely to adversely affect the performance of any our obligations, we will endeavour to notify you of this and our obligations under the Terms shall be suspended for the duration of the event causing such failure or delay.

8.3 We exclude all liability we may have to you to the fullest extent permitted by law (and whether such liability arises in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise) as a result of your use of the Site. You agree to indemnify us and keep us indemnified against all costs, expenses, claims, losses, liabilities or proceedings arising from use or misuse by you of the Site or breach of these Terms. You must notify us immediately if anyone makes or threatens to make any claim against you relating to your use of the Site or breach of these Terms.

8.4 We:

(a) exclude all implied conditions, warranties, representations or other terms that may apply to our Site or any content on it;

(b) will not be liable to you under or in connection with these Terms for any loss or damage, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: (i) use of, or inability to use, our Site; or (ii) use of or reliance on any content displayed on our Site; and

(c) will not be liable under or in connection with these Terms (whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise) for: (i) loss of profits, sales, business, or revenue; business interruption; (ii) loss of anticipated savings; (iii) loss of business opportunity, goodwill or reputation; or (iv) any indirect or consequential loss or damage.

9. Suspension and termination

9.1 We may immediately suspend or terminate your Account if we have determined that you are in breach of these Terms or if your Account is involved in any illegal activities.

9.2 We also reserve the right to suspend or terminate your access to all or part of the Site, to remove your Account and/or any content posted by or about you, from the Site, for any reason or no reason, with or without notice. If we suspend or terminate your Account, we have no obligation to notify you of the reason, if any, for such suspension or termination.

10. Non-circumvention

10.1 Any attempt by a user to circumvent the Site by entering into business transactions or agreements with other users outside of the Site shall be a breach of these Terms.

10.2 Following a breach of this clause, without prejudice to any of our other rights or remedies, we shall be entitled to a monetary sum equal to the fees that would have been due to us had the circumvention not occurred, plus any or all losses incurred by us to recover the fees, including legal costs.

10.3 A breach of this clause includes, but is not limited to:

(a) completing a transaction outside the Site once it has been initiated on the Site;

(b) cancelling a valid, completed booking;

(c) directing users to another online platform to purchase their services; and

(d) contacting another user to buy or sell a job opportunity published on the Site outside of the Site.

11. Miscellaneous

11 These Terms constitute the entire agreement between you and Patchwork Hub in relation to your use of the Site and supersedes any prior representations, inducements or agreements relating to its subject matter. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.

11.2 If any provision of these Terms is held to be invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

11.3 Patchwork Hub reserves the right to transfer its rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights.

11.4 Failure by either Patchwork Hub or you to exercise or enforce any right conferred by these Terms shall not be deemed to be a waiver of any such right.

12. Governing law and dispute resolution

12.1 These Terms, their subject matter and formation are governed by the laws of England and Wales. We and you agree that the courts of England and Wales will have exclusive jurisdiction in relation to the Agreement.
